I don't think he's scared of Cotto or losing to him but Floyd cares more about his bank acount than legacy. He will take the most money for the least risk. I think the reason for it is that he believes he is the greatest boxer of all time which is clearly not something he has proven. Cotto is too much of a risk for "Money" Mayweather. He may decide to move up to light middleweight next year, and fight some old or shot fighters in that weight class. Or, he may fight someone smaller like Pacquiao.

But he will never fight a prime top welterweight.
