Martinez gets hit too much and Floyd would be able to bring more speed and athleticism than Martinez. Martinez would have a punchers chance but i would favor Floyd at this point.

Floyd wont get tired and woud adjust to the left and counter jab
Martinez has the kind of footwork that none of Floyd past southpaw opponents had. He may not have Judah's hands speed, but he's mentally tough with great killer instincts. Floyd won't get tired, but he'd be fighting a bigger guy who's mentally strong unlike Victor Ortiz.

Floyd doesn't operate smoothly when his target is constantly moving, his timing and accuracy becomes inefficiency because of that[I guess that's one thing he and Manny have in common]. Sergio doesn't like fighting in the pocket[where Floyd is very smooth at catching his opponents unexpectedly], and he's a very good counter puncher waiting to retaliate instantly. Floyd is more overly aggressive against southpaws, and very vulnerable to get hit by straight left hands because he doesn't rotate to move away from the angle it's coming from.

Mosley dominated and stopped the #1 WW in the world whilst be a reasonably big underdog whereas Martinez, although getting the job done, hasn't looked great against Domestic level most of his career Darren Barker and Matthew Macklin who's a good fighter but nothing more.

Martinez has fought no one on Mayweather's level and was getting frustrated and outboxed at times by Matthew Macklin and Darren Barker.

Thing is he doesnt need to be agressive or anything like

If Barker and Macklin can box and outbox Sergio at times, Floyd would have no problem

Floyd's past southpaw opponents were the same size as him with the exception of Victor Ortiz who was physically strong, but very weak minded. The only way i could see Floyd beat him is if he make Martinez be the aggressive, and then rely on his speed and accuracy to counter him coming in. Floyd doesn't fight that way against southpaws, he take the fight to them, not the other way around. Unlike Manny, Sergio is comfortable at fighting backing up and he wouldn't be frustrate by it because it'd give himself the openings he needs to catch Floyd.

Sergio is going to fight Chavez Jr, if Jr/Sr/Arum/Sulaiman do not duck him of course. And Floyd will probably fight Alvarez after serving his jail sentence.

Mayweather-Martinez for winter 2012 is out of the question, it just can't happen. It'll happen May 2013 probably. If Sergio can beat Jr, which he will beat the living crap out of him. And Mayweather should beat Alvarez.
