I refer you to this interview with Ellerbe written almost two years ago. In it he states perfectly why it is ARUM who doesn't want the fight. That Arum doesn't want Pacquiao looking at the books and seeing how much more money Mayweather makes than him because then Pacquiao will realize how much uncle Bob has been screwing him over the years.

I don't know very many people that wouldn't love being paid to do nothing. And basically, that's what Arum is being asked to do. And to be real, with all the hard feelings involved. I don't see any peaceable way to co-promote this fight. So its probably better for the promotion that one side or the other head the event. And it goes both ways. Justt as easily as Arum could take a fee to move outta the way. Floyd could easily go to Arum and offer him the same deal he has with GBP. And that is he's gonna subcontract TR to do this one fight for a flat fee. But unfortunately for Pac, his status ha fallen to the point where he's clearly the B-side here. So he's gonna have to do the bending. But even at tthat, I don't see why Arum has to be apart of this as long as he's not losing any money.

You're claiming the negotiations didn't work. I tell you they didn't work because Bob Arum didn't make them work. Sad thing is this is nothing new. Bob Arum has always been this way, even before GBP even existed. You must not be old enough to remember the feud between him and Don King.
The closest Golden Boy and Top Rank came together I believe is with the negotiations for a Tim Bradley vs. Robert Guerrero fight. Pretty much everything was set and both sides wanted it, everything was agreed upon pretty much. But Bradley decided in the end to pull out of the fight.
