this to me is actually a tough question, simply because of how good Tarver does in rematches. With that said, I'm picking Dawson.

maybe Tarver was shot in the 1st fight. maybe he just wasn't fighting the right fight. Tarver was trying to pressure Dawson, when Tarver isn't a true pressure fighter. The questions is, what will happen when Tarver counterpunches and waits for Dawson to come to him? Tarver is a much much better counterpuncher than pressure fighter.

IMHO it's a different fight Tarver has a decent chance.
