A contract is a legally-binding document between parties involved and for it to be legally-binding it has to be agreed to and signed. What you refer to as a contract in paragraph 2 is a contract proposal that both parties may write up in preparation for negotiations. If the negotiations are uncomplicated, these proposals can easily be modified to be the contract agreed to by parties involved.
