We will get some crap reason, don't know what it's going to be, but the fight is not happening. If you look at Floyd's pattern of opponents, anyone can clearly see that he does not take this fight.
He might end up giving Marquez a rematch since Marquez is at a high point after the last Pacquiao win, maybe even Sergio Martinez (if you look at Martinez's last few fights he is vulnerable and will probably lose soon).
Alvarez thinks in the ring, he boxes and changes angles, he is smart, and he is young, fast, and strong.
I will wager any Mayweather fan on this, with the loser of the bet having to leave boxingscene.com.

I must disagree. As long as Floyd is himself versus Guerrero, I think he welcomes that fight. Canelo did some good things versus Trout, and as I explained there are exploitable flaws in Canelo's game. I can't imagine Floyd turning down that payday, at least I don't think he will.

The fight negotiations will "fall apart" due to money, maybe some contract issues, or maybe Mayweather chooses to go into retirement again rather than take that fight.
Just like Guerrero, Mayweather is going to find a beatable fighter who's stock is high. Sergio Martinez would be a credible opponent who has looked vulnerable recently, so maybe Mayweather takes that fight instead.
