I thought about this question for so long, and i never came close to an answer....until now.
Anyone who knows anything about boxing should know that Had Marquez took the fight and Defeated Khan he would've became the first Mexican boxer to i believe win 4 different tittles in weight divisions. Such a historic event would Trump even the great Eric Morales and Marco Antonio Barrera. So question is, why not? Anyone on this site knows that He arguably one against Pac at least in one of their fights so why be afraid to take on such a Young, green fighter like Amir? I think the person who know the answer at the time had to have been Nacho himself. The answer is simple, its what you all saw Saturday Night. The mans jab is insanely fast, I sat not at ringside but close enough to see lightning like Jabs tear Paulie's face and spray blood and sweat everywhere. And its only getting better. Do not take this post the wrong way fellow boxing fans, i Respect and favor Marquez greatly, but Nacho knew that it couldve been him in their Saturday night.

Didn't Nacho say that he didn't want JMM to be a stepping stone for Khan?

Money probably had something to do with it too. JMM can probably get more for rematching Diaz. Probably just didnt feel that Kahn was up to his level yet.

            Total mismatch imo

Khan is bigger, stronger, faster and has waaaay bigger reach advantage. Nacho said himself that Khan is too fast and too big for JMM and that he didn't want JMM as Khans stepping stone. The money JMM would have got was 5 million btw....

If he felt khan wasn't up to his level yet then why didn't he just destroy an upcoming fighter and have a much better resume and another belt even if it wasn't much money, it would still be a good outcome

Ya Khan vs Marquez would be a good match up. If Marquez can win over Khan, than it would be nice to see Pac/Marquez again.

JMM is too small. He seems to be vulnerable to taller fighters with a long jabs.
The fight would probably be at 140 which would also favour Khan. Khan could hit Marquez and stay out of range of his counters. He has a significant height and reach advantage
Am I saying Khan is a better boxer than Khan, hell no, but that would be a bad style matchup for Marquez.

'Ducking' implies the match up would have been meaningful had it been made.

This wouldn't have been. JMM is too old, can't handle the higher weight as well (he weighed in 142 against Floyd, and that was clearly difficult for him), and Khan's height and reach would only have added to the problems.

At 135 I'm sure he might have better considered it.

To say 'ducking' is silly to a man who has gone 24 rounds toe to toe with Manny Pacquiao.
