At 140, Mayweather embarasses Cotto, so in turn yes it would have been bad if he took that offer.

At 147 it's a much better and closer fight. The question is, if Mayweather beat Cotto at 140, would people still be clamoring for a rematch at 147, if their careers were the same, exxept for that fight being added?
