Do you know what upside is ? Its money you get after revenue reaches a certain threshold. That threshold is usually set at about what is the fight is expected to do. Upside is usually nothing, it only comes into effect if the fight does better than expected.

So even if that offer was made which is doubtful unless you know why the upside offer is its basically $40mil plus possible more but unlikely.
