It's interesting because Floyd has said emphatically FOR YEARS that rematches are for people who "don't get it right the first time", yet he has a clause for one in all of his fights. I'm sure it's a formality on his managers part, but for some people it does imply a small measure of doubt on the side of the party requiring it.
Unfortunately, the first thing that comes to mind with Manny and Vic fighting is them possibly being too friendly. When Ortiz publically thanked Pacquiao during his post fight interview with HBO, I was a little disappointed. I could see Victor giving Manny too much respect in the ring, and for a fight to truly be competitive (IMO) both fighters need to have a real fire about them to win against their opponent (like Vic did against Berto). And also, no matter how legitamate a fight between the two might appear, Pacquaio critics will again degrade him for fighting another Mayweather leftover (which I personally think is ridiculous) Everyone is someones leftover and that doesn't make them less credible as an opponent)
Side note: Before anyone else says it - Yes I realize Ortiz is a professional and wants to win... but we've all seen the difference between two guys who aren't friends and have a genuine dislike for each other and a tap gloves friendly sparring championship fight. Victor would be fighting the guy he was previously thanking for advice and saying "he's a good friend" on LIVE television. It does make you a bit leary...
