Team Juan Diaz probably wouldnt let this fight be put together. Not at this point, they want something easy.
That said, this would be a very good action fight, and a very dangerous fight for both guys. Diaz would stay in Valero's face, he would stand up to his power and he would throw 2 punches for every 1 Valero lets go. That alone would make it an excellent test for how good Valero really is.
The problem with that is, Diaz is NOT a hard puncher, and he would be standing in the way of Valero all night. Diaz is a resilient fighter, but Valero has serious crack and over the course of the fight it would get dangerous.
It would be a great fight, one that I would love to see. I highly doubt Juan's people let it happen though, at this particular time in his career it could really ruin him.

Diaz got cracked by Paulie, or in other words he was stunned by his punches, so It would be interesting to see how he handles the punching power of Valero
