Haye/Valuev isn't a more meaningful fight. Dawson/Johnson is a fight between the two best light heavyweights in the world while Haye/Valuev are barely two top ten contenders. Your absolutely right about the undercard, much better for Haye/Valuev. Except for the fact that Kelvin Davis shouldn't be allowed to fight anymore, Liakhovich and Bates is too much of a miss-match, and I hope John Ruiz spontaneously combust before he gets into the ring. Olokun/Pulev and Helenius/*****ko are the two fights that have most of my attention on this card. Aggressive matchmaking can make these two youngsters much more prepared for the top if and when they get there.Haye-Valuev, because it's a more meaningful fight and in boxing's most important division.
The undercard is excellent, with several interesting fights:
Pulev vs. Olouken amazingly tough matchmaking in Pulev's third pro fight
Helenius vs. *****ko biggest test yet for heavyweigh prospect Helenius
Frenkel vs. Davis the most exciting young cruiserweight in Europe vs. a former world titleholder
Lyakhovich-Bates a former heavyweight titleholder finally returns

But the idiots who made the decisions for the PPV chose not to show them.
Additional undercard bouts and highlights will also air on PPV besides Ruiz-Serin. Two other former world champions are on the card, heavyweight Sergei Liakhovich (23-3, 14 KOs) and cruiserweight Kelvin “Concrete” Davis (24-10-3, 17 KOs) vs. Jeremy “The Best” Bates (22-16-1, 18 KOs) and unbeaten IBF No. 10 rated Alexander Frankel, respectively. Undefeated WBC & WBA No. 3 rated cruiserweight Francisco “The Wizard” Palacios (18-0, 11 KOs) is also on the undercard versus DeLeon Tingsley (9-4-1, 5 KOs).
