You're right when you say SEO falls under SEM, that's absolutely correct, you're also correct when you say they are geared towards the same thing, but when you say they are one & the same, that's just wrong, SEO's have to do with optimizing a site to get traffic from organic search while SEM gets traffic & visibility from both organic & paid search

Google search results are divided into two main categories: paid & organic search, the goal of SEO is to rank your website in the organic search results

With regards to the bet, I'd have to decline & the reason is simple, the consistency & passion required from me, for my website to rank high in organic search, is something I can't afford right now, look at how long it took me to read this.
