    Lewis by knockout.

He has the advantages in size, technical skill and, in my opinion, punching power. I see him clearly out-boxing Haye before getting the knockout.

Honestly, I can't think of one category that I'd give an advantage to Haye. Lewis is bigger, is a better puncher, has better footwork, is better defensively, even has a better chin.

And he also had the balls to get in the ring with one of the Klitschkos... something that cannot be said for Haye.
