Strikeforce is on life support. Shogun takes this one. Henderson is up in his early 40s now, and sometimes fighters age quickly. Should be quite the fight though.

Shogun does not have more power than Fedor who failed to KO him, and I doubt he can get some knees and kicks in to crack Henderson's chin. He's gonna have trouble with Henderson's wrestling I think.
